The Role

The Associate General Counsel and Managing Director will lead a team of attorneys and legal professionals that provides advice support on general corporate law, corporate governance, and legal entity matters and activities for Wells Fargo & Company (WFC), Wells Fargo Bank, N.A. (WFBNA), and all of their respective subsidiaries and controlled legal entities. The legal advice and support provided by the Corporate Governance Section also includes Executive Compensation matters and Investor and other Stakeholder Engagement.

Specifically, this leader will:

  • Provide guidance and advice on corporate governance and executive compensation matters to management and the Board.
  • Prepare and oversee the distribution of meeting materials for the board and its committees.
  • Draft and maintain corporate records, including minutes, proxy statements, resolutions, and other legal documents.
  • Support the board in its oversight responsibilities, including monitoring risk and performance.
  • Design, develop, and implement corporate governance frameworks and policies.
  • Ensure that governance processes are efficient and effective, including risk and control processes and procedures designed to mitigate or prevent governance risks.
  • Identify and address potential governance issues.
  • Communicate with shareholders and other stakeholders on corporate governance matters.
  • Ensure that the company's governance practices are transparent and accountable.
  • Accurately and transparently escalate and explain relevant legal matters and trends to senior executives.
  • Operate with the highest levels of ethics and integrity.

The Candidate

The successful candidate will demonstrate effectiveness in building and developing high-performing teams focused on driving business results through effective leadership and team member engagement; contributing to a broad strategy with an enterprise focus; and embodying our Company Expectations. The successful candidate will also be effective in establishing strong working relationships with senior leadership and will be regarded as a trusted advisor on legal and regulatory issues, business strategy, risk management, and business management in a manner that is consistent with Company goals and expectations.

Required Qualifications:

  • 8+ years of Law experience, or equivalent experience demonstrated through one or a combination of the following: work experience, training, military experience, education
  • 4+ years of management experience
  • Active State Bar membership or the equivalent in a country outside the United States


Desired Qualifications:

  • Demonstrated experience in corporate governance; experience supporting Board of Director and senior level executives
  • Strong knowledge of corporate laws, corporate governance principles and regulations
  • Experience with Executive Compensation at large, complex institutions
  • Experience working with regulatory agencies with responsibility for supervision of functions supported by the Section
  • Proven client relationship and interpersonal skills at the senior executive level, including the ability to provide valuable and trusted advice to clients and colleagues on legal, business management and regulatory questions
  • Excellent written and oral communication, influence and negotiation skills
  • Proven ability to (i) adapt quickly to a changing or crisis environment while building relationships and negotiating for desired outcomes, (ii) work under pressure to meet tight deadlines, (iii) understand complex business activities and operations, (iv) prioritize among competing demands, and (v) develop and maintain relationships of trust with business leaders


Pay Range

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.

$249,500.00 - $518,300.00
